Raffle Terms and Conditions

These Raffle Terms and Conditions (the "Raffle Terms") govern the use of the AppSorteos "Raffles" feature, a technology tool that allows its users to create online numbered raffles, set prizes and a draw date, offer those numbers to third parties, and select the winners at random.

Please read this document carefully. By creating a raffle, publishing it, purchasing a number, or otherwise using the Raffles feature, you represent that you have read, understood, and accepted these Raffle Terms in their entirety. If you do not agree with any of their provisions, you must not use the feature.

1. Purpose and Acceptance

These Raffle Terms apply to every person who uses the Raffles feature, whether to organize a raffle or to purchase numbers in one. They supplement the AppSorteos general Terms and Conditions and the general Privacy Policy, which also apply.

In the event of any conflict between the general Terms and Conditions and these Raffle Terms, these Raffle Terms shall prevail with respect to all matters relating to the Raffles feature.

These Raffle Terms are accepted by checking the corresponding box, by publishing a raffle, by completing the purchase form for a number, or, in any event, by continuing to use the feature.

2. Who We Are

The Raffles feature is provided by AppSorteos LLC ("AppSorteos," "we," or "us"), a company organized under the laws of the State of Delaware, United States of America, which operates the website https://app-sorteos.com.

3. Definitions

For purposes of this document, the following terms shall have the meanings set forth below:

• Raffle: the activity created by an Organizer using the tool, consisting of a set of numbers, one or more prizes, a price per number, and a draw date.
• Organizer: the individual or legal entity that creates, configures, and publishes a Raffle and offers its numbers to third parties.
• Buyer: the person who purchases one or more numbers in a Raffle and completes the corresponding registration form.
• User: any person who uses the Raffles feature, including Organizers, Buyers, and visitors.
• Payment Account: the Organizer's own payment method (for example, Mercado Pago, PayPal, Wise, PIX, bank transfer, or other) through which the Organizer receives money directly from Buyers.
• Draw: the act of determining, at random from among the numbers sold, the winning number or numbers of a Raffle.
• My Raffles: the management dashboard from which the Organizer administers its Raffles.

4. Nature of the Service

AppSorteos offers solely software that facilitates the creation, publication, and management of raffles, the registration of Buyers, and the random selection of winners. AppSorteos does not organize, sponsor, endorse, promote, or guarantee any Raffle created with the tool.

In particular, AppSorteos:

• does not verify the identity, solvency, reputation, or good faith of Organizers;
• does not verify the existence, condition, value, or ownership of the prizes offered;
• does not review or validate whether each Raffle has the permits, authorizations, or registrations required by applicable law;
• does not take part in the sale of numbers or in the collection of their price;
• does not act as an agent, representative, financial intermediary, custodian, or guarantor for any of the parties.

5. Requirements for Using Raffles

To use the Raffles feature, whether as an Organizer or as a Buyer, the User must:

• be at least 18 years of age or the age of majority established by the laws of the User's place of residence, if higher;
• have full legal capacity to enter into binding contracts;
• not be prohibited from participating in raffles or similar activities under the laws applicable to the User;
• provide true, complete, and up-to-date information.

Anyone acting on behalf of a legal entity, association, club, school, or other organization represents that they have sufficient authority to bind it, and such entity shall be bound by these Raffle Terms.

The Organizer is responsible for maintaining the confidentiality of its account credentials and for all activity carried out through its account.

6. Obligations and Responsibility of the Organizer

6.1 General Obligations

The Organizer agrees to:

• describe the Raffle, the prizes, the price of the numbers, the draw date, and any relevant conditions clearly, truthfully, and completely;
• actually have the prizes offered in its possession, or have a certain ability to acquire them, before publishing the Raffle;
• conduct the draw on the announced date or, if the date is changed, notify the Buyers of the change in a timely manner;
• use the funds raised for the stated purposes;
• respond to Buyers' inquiries, complaints, and refund requests;
• comply with consumer protection, advertising, personal data protection, anti-money laundering, and any other laws applicable to its activity.

6.2 Permits and Authorizations

Raffles are regulated in many countries, provinces, states, and municipalities. In several jurisdictions (for example, in the Argentine Republic), holding a raffle may require prior authorization from the competent authority, may be limited to certain entities or purposes, or may be prohibited outright.

It is solely the Organizer's responsibility to determine which rules apply to its Raffle and to obtain, before publishing it, all necessary permits, licenses, authorizations, enrollments, and registrations, as well as to comply with any conditions imposed by such authorizations. AppSorteos does not provide legal advice and does not monitor whether the Organizer has met these requirements.

6.3 Taxes and Tax Obligations

The Organizer is solely responsible for reporting and paying any taxes, fees, levies, and withholdings applicable to the sale of numbers, the income obtained, and the delivery of prizes, as well as for issuing any receipts or invoices required by applicable tax law. Where the law imposes tax burdens on winners, the Organizer must inform them adequately.

6.4 Prize Delivery

The Organizer must contact the winners and deliver the prizes under the announced conditions, bearing the associated costs, risks, and formalities (shipping, transportation, transfer of title, insurance, or others), unless it disclosed otherwise before the sale. AppSorteos does not take part in prize delivery and is not liable for any failure, delay, defect, or discrepancy with respect to what was announced.

6.5 Declaration of Responsibility upon Publication

Before publishing a Raffle, the Organizer must check the "Declaration of Responsibility" box, by which the Organizer states, as a sworn statement, that it is the sole legally responsible party for that Raffle. By doing so, the Organizer represents and warrants that:

• the information about the Raffle and the prizes is true;
• the Raffle complies with applicable law and has all required permits and authorizations;
• it will deliver the prizes to the winners under the announced conditions;
• it assumes responsibility for the taxes, refunds, chargebacks, and claims arising from the Raffle;
• it will process Buyers' data in accordance with the law and solely for the purposes of the Raffle;
• it will hold AppSorteos harmless under the terms of Section 16.

AppSorteos may record the date, time, IP address, and other technical data associated with this acceptance, and may use such record as evidence in connection with any claim.

7. Organizer's Payment Account

Buyers pay for their numbers directly to the Organizer, through the account or payment method that the Organizer chooses and configures. This may be Mercado Pago or other alternatives such as PayPal, Wise, PIX, bank transfer, or other methods available in the Organizer's country.

With respect to the Payment Account:

• the Organizer is the sole holder of its account and is responsible for keeping it active, verified, and in good standing with its provider;
• the relationship among the Organizer, the Buyer, and the payment provider is governed by that provider's terms and conditions, which the parties must review and accept on their own;
• any fees, charges, exchange rates, limits, settlement periods, and holds applied by the provider shall be borne by whichever party is responsible under the provider's own terms, and are unrelated to AppSorteos;
• account freezes, suspensions, and closures, frozen funds, chargebacks, disputed purchases, disputes, and refunds shall be resolved among the Organizer, the Buyer, and the payment provider;
• where payment is made outside a payment gateway (for example, by bank transfer), confirming receipt of the payment and assigning the number are the responsibility of the Organizer.

AppSorteos shall not be liable for any errors, delays, interruptions, rejections, or decisions of payment providers, or for the consequences they may have on the sale of numbers or on the Raffle.

8. Important Notice to Buyers

By purchasing a number, the Buyer acknowledges and agrees that:

• its contractual relationship is exclusively with the Organizer, whom it pays directly;
• any claim regarding the Raffle, the prize, the draw, a refund, or the use of its data must be directed to the Organizer;
• participating in raffles involves the risk of not winning and, where applicable, the risk that the Organizer may fail to fulfill its obligations;
• it is the Buyer's responsibility to verify that participating in the Raffle is legal in its place of residence;
• it must provide true information in the registration form, as the Organizer will use it to identify and contact the Buyer if the Buyer wins;
• AppSorteos shall not be liable for failure to deliver the prize, for prizes that differ from those announced, for cancellation of the Raffle, for failure to issue a refund, or for any fraud or breach by the Organizer.

If the Buyer suspects that a Raffle is fraudulent or unlawful, the Buyer may report it to [email protected]. AppSorteos may review the case and take the measures provided for in Section 11, but it is not obligated to intervene or to resolve the dispute, and the report does not give rise to any right to a refund from AppSorteos.

9. Draw Mechanics

9.1 Random Selection

Winners are determined at random, solely from among the numbers shown as sold in the tool at the time of the draw. Unsold numbers, unconfirmed reserved numbers, and released numbers do not participate. It is the Organizer's responsibility to keep the status of the numbers up to date before the draw date.

9.2 Automatic Draw

When the Organizer chooses this mode, AppSorteos automatically conducts the draw when the configured end date is reached, through a random selection process, and publishes the result on the Raffle page. AppSorteos endeavors to have the draw take place at the scheduled time, but does not guarantee that it will occur at an exact moment, and delays may occur for technical reasons.

9.3 Manual Publication by the Organizer

When the Organizer chooses this mode, it is the Organizer who conducts the draw or publishes the result from "My Raffles." In this case, the Organizer is solely responsible for the manner, timing, and transparency with which the result is determined and published.

9.4 Date Changes, Cancellation, and Refunds

The decision to postpone, move up, or cancel a Raffle rests with the Organizer, who must notify the Buyers and, where applicable, process refunds through its Payment Account. AppSorteos is not obligated to issue or guarantee any refund.

9.5 Scope of the Result

The result displayed by the tool is a technical record of the selection process. AppSorteos does not certify the draw before any authority, does not act as a notary, attesting officer, or auditor, and does not arbitrate disputes between the Organizer and the Buyers. If applicable law requires the draw to be conducted before an authority, a notary, or through another specific mechanism, the Organizer must comply with such requirement on its own.

10. Prohibited Raffles, Content, and Conduct

It is prohibited to use the Raffles feature to:

• publish raffles that are fake, misleading, or without a genuine intention to conduct the draw or deliver the prize;
• offer prizes that do not exist, that belong to others, or whose description does not correspond to reality;
• organize raffles without the required permits or in jurisdictions where they are prohibited;
• offer as prizes goods or services that are illegal, dangerous, or subject to sales restrictions, such as weapons, drugs, prescription medications, tobacco or alcohol in violation of the law, animals in contravention of applicable regulations, adult content, crypto-assets or unauthorized financial products, or stolen or counterfeit goods;
• offer cash as a prize where applicable law prohibits it;
• target the raffle at minors or allow them to participate;
• impersonate individuals, companies, charities, or institutions, or falsely claim to support a charitable cause;
• raise funds for unlawful activities, launder money, finance terrorism, or evade sanctions;
• manipulate the draw, assign numbers fraudulently, or publish results that do not correspond to a random selection;
• publish content that infringes third parties' intellectual property, image, or privacy rights, or that is offensive, discriminatory, or violent;
• collect, through custom fields or other means, data that is not necessary for the Raffle, or sensitive data such as health information, complete identity documents, passwords, or card data;
• use Buyers' data for purposes unrelated to the Raffle without the corresponding legal basis;
• attempt to gain unauthorized access to AppSorteos' systems, interfere with their operation, or use unauthorized automated means.

11. Suspension and Removal of Raffles and Accounts

AppSorteos may, in its sole discretion, at any time and without prior notice, hide, pause, deactivate, or delete a Raffle, restrict features, or suspend or terminate an Organizer's account when it considers that there has been a breach of these Raffle Terms or of the law, that there is a risk to Buyers or third parties, that an authority has made a request, or that a complaint warrants such action.

The suspension or removal of a Raffle does not release the Organizer from its obligations toward the Buyers, including any applicable refunds. AppSorteos shall not be liable for any harm that the suspension or removal may cause to the Organizer or the Buyers, and may retain the necessary information and make it available to the competent authorities when so required or when it deems it necessary to prevent harm.

12. Personal Data

Buyers complete a registration form with their first name, last name, email address, phone number, and any additional fields defined by the Organizer. The Organizer can view this data and export it, for example in CSV format.

With respect to Buyers' data, the Organizer acts as the data controller and AppSorteos as the data processor, processing such data solely on the Organizer's behalf and in order to provide the service. The Organizer is solely responsible for having a legal basis for the processing, informing Buyers, responding to their requests, and using the data solely for the purposes of the Raffle. AppSorteos is not liable for the Organizer's use of the data, particularly once it has been exported.

The details of the processing are described in the Raffle Privacy Policy, which forms part of these Raffle Terms, and in the general Privacy Policy.

13. Intellectual Property

The software, design, trademarks, logos, text, and other elements of AppSorteos are owned by AppSorteos LLC or its licensors and are protected by intellectual property laws. Use of the Raffles feature does not grant the User any rights in them, other than a limited, revocable, non-exclusive, and non-transferable license to use the tool in accordance with these Raffle Terms.

The Organizer retains ownership of the text, images, and other content it publishes in its Raffles, and represents that it holds the rights necessary to do so. The Organizer grants AppSorteos a royalty-free, worldwide, non-exclusive license to host, reproduce, and display such content to the extent necessary to provide the service for as long as the Raffle remains on the platform.

14. Disclaimer of Warranties

The Raffles feature is provided "as is" and "as available." To the maximum extent permitted by law, AppSorteos makes no warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, or freedom from errors.

Nor does AppSorteos guarantee that the tool will operate without interruption, that emails or notifications will reach their destination, or that data will be preserved without loss. Organizers are advised to keep their own records of sales and Buyers.

15. Limitation of Liability

To the maximum extent permitted by applicable law, AppSorteos LLC and its members, officers, employees, contractors, and suppliers shall not be liable for any damage, loss, claim, or expense arising from or related to Raffles, including, without limitation, those resulting from:

• failure to deliver the prize, late or defective delivery, or any discrepancy with what was announced;
• fake or nonexistent prizes, or prizes of unlawful origin;
• the disappearance of the Organizer, misappropriation of funds, or any other fraud or deception;
• the Raffle's lack of permits, authorizations, or registrations, or its unlawful nature in any jurisdiction;
• failure by the Organizer or the winners to comply with tax obligations;
• chargebacks, refunds, disputes, fees, freezes, or holds of funds in the Organizer's Payment Account;
• manipulated, erroneous, or unpublished results in manual publication mode;
• cancellation, postponement, or suspension of the Raffle, whether by decision of the Organizer or of AppSorteos;
• disputes between the Organizer and the Buyers, or between any of them and third parties;
• misuse of Buyers' data by the Organizer;
• technical failures, interruptions, errors, data loss, cyberattacks, or events beyond AppSorteos' reasonable control.

In no event shall AppSorteos be liable for any indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost revenue, or loss of data or opportunities, even if it has been advised of the possibility of such damages.

If, notwithstanding the foregoing, AppSorteos is found liable, its liability shall be limited to the greater of (i) the amount actually paid by the User to AppSorteos for the use of the Raffles feature during the twelve (12) months preceding the event giving rise to the claim, and (ii) the limit set forth in the general Terms and Conditions. Amounts paid by Buyers to Organizers are not considered payments to AppSorteos.

Some jurisdictions do not allow certain exclusions or limitations of liability; in that case, such exclusions or limitations shall apply to the fullest extent permitted by that jurisdiction.

16. Indemnification

The Organizer agrees to defend, indemnify, and hold harmless AppSorteos LLC and its members, officers, employees, contractors, and suppliers from and against any claim, demand, investigation, penalty, fine, damage, loss, cost, or expense (including reasonable attorneys' fees) arising from or related to:

• its Raffles, the prizes offered, or failure to deliver them;
• the lack of permits, authorizations, or registrations, or the violation of any applicable law;
• the collection of payment for numbers, its Payment Account, chargebacks, and refunds;
• tax obligations related to the Raffle;
• the processing of Buyers' personal data;
• the content it publishes;
• any breach of these Raffle Terms or of its Declaration of Responsibility.

The Buyer assumes the same obligation with respect to claims arising from its breach of these Raffle Terms or from any false information it provides.

17. Changes

AppSorteos may modify these Raffle Terms at any time. The current version will always be available on this page, together with the date of its last update. When changes are material, AppSorteos may give notice of them by reasonable means, such as a notice on the platform or an email. Continued use of the Raffles feature after the changes are published constitutes acceptance of them. Raffles already published shall continue to be governed by the version in effect at any given time, unless the law provides otherwise.

18. Governing Law and Dispute Resolution

These Raffle Terms are governed by the laws of the State of Delaware and the applicable federal laws of the United States of America, without regard to their conflict of laws rules.

Any dispute between a User and AppSorteos arising from these Raffle Terms or related to the Raffles feature shall be resolved through binding, individual arbitration in accordance with the arbitration clause of the general Terms and Conditions. The User waives any right to a jury trial and to participate in any collective, class, or representative action against AppSorteos. For matters that cannot be submitted to arbitration, the state and federal courts located in the State of Delaware shall have jurisdiction.

Disputes between Organizers and Buyers do not involve AppSorteos and must be resolved between them, in accordance with the law and jurisdiction applicable to them.

19. General Provisions

• Severability: if any provision of these Raffle Terms is held invalid or unenforceable, it shall be interpreted in the manner that most closely reflects its original intent, and the remaining provisions shall continue in full force and effect.
• No Waiver: AppSorteos' failure to exercise any right shall not constitute a waiver of that right.
• Assignment: the User may not assign its rights or obligations without the prior consent of AppSorteos. AppSorteos may freely assign them, including in connection with a reorganization, merger, or sale of assets.
• Relationship of the Parties: nothing in these Raffle Terms creates a partnership, joint venture, mandate, employment, or agency relationship between AppSorteos and the Users.
• Entire Agreement: these Raffle Terms, together with the Raffle Privacy Policy and the general AppSorteos documents, constitute the entire agreement between the parties with respect to the Raffles feature.
• Language: if versions of this document exist in other languages, in the event of any discrepancy the Spanish version shall prevail for Users who use the feature in Spanish.
